Bee Setups Revenue Share Program Terms and Conditions

​

These Terms and Conditions ("Agreement") govern the participation in the Bee Setups Revenue Share Program ("Program") by individuals or companies ("Referral Agents"). By joining the Program, the Referral Agent agrees to be bound by these terms.

​

1. Eligibility

1.1 The Program is open to individuals and companies legally capable of entering into binding agreements.
1.2 Referral Agents must provide accurate and complete information during the registration process, including contact details and payment information.

​

2. Revenue Share Program

2.1 Bee Setups offers a 20% revenue share to Referral Agents from the setup fees collected through referred clients. This includes the following packages:

  • Standard Package

  • Premium Package

  • Luxury Package

2.2 The 20% revenue share is based on the actual setup fees collected by Bee Setups, excluding any taxes, discounts, or refunds.

2.3 Referral Agents will receive revenue share payments only after the referred client has paid Bee Setups in full for the setup services rendered.

3. Referral Process

3.1 Referral Agents must submit referrals through the Bee Setups referral process, which includes providing the referred client's contact information and any other required details.

3.2 Referrals must be acknowledged by Bee Setups. Bee Setups will confirm with the Referral Agent once the referred client has made a payment.

​

4. Payment Terms

4.1 Revenue share payments will be made based on the actual amount collected from referred clients.

4.2 After Bee Setups confirms the referred client's payment, the Referral Agent will have 30 calendar days to submit an invoice if payment details are not on file.

4.3 If the Referral Agent does not submit an invoice within the 30-day period and no payment details are on file, Bee Setups may delay payment until the appropriate documentation is received.

4.4 Payments to Referral Agents will be processed via the preferred method (Bank Transfer, PayPal, etc.) provided during registration.

4.5 Bee Setups will not be responsible for any additional fees incurred during payment processing (e.g., bank fees, PayPal fees, etc.).

5. Invoicing

5.1 Referral Agents may choose to invoice Bee Setups directly for their revenue share or provide payment details to have payments processed automatically.

5.2 Invoices must be submitted in accordance with the timelines specified (30 days from referral payment confirmation).

5.3 Bee Setups will review and process invoices within 30 days of receipt.

6. Termination

6.1 Either party may terminate participation in the Program by providing written notice to the other party. Any unpaid revenue shares accrued prior to termination will be paid in accordance with these Terms and Conditions.

6.2 Bee Setups reserves the right to terminate a Referral Agent’s participation in the Program for violation of this Agreement or any unethical, illegal, or fraudulent behavior.

7. Confidentiality

7.1 Referral Agents agree not to disclose any proprietary or confidential information related to Bee Setups or its clients, including but not limited to client lists, pricing information, or business practices.

​

8. Liability

8.1 Bee Setups shall not be liable for any indirect, special, incidental, or consequential damages arising out of or related to this Agreement or the Program.

8.2 Bee Setups makes no representations or warranties regarding the Program, including but not limited to the potential earnings or profitability of participation.

​

9. Modifications to the Agreement

9.1 Bee Setups reserves the right to amend or modify these Terms and Conditions at any time, with or without prior notice. Any changes will be effective immediately upon posting to the Bee Setups website or by email notification to the Referral Agents.

9.2 Continued participation in the Program after any modifications constitutes acceptance of the revised terms.

10. Governing Law

10.1 This Agreement shall be governed by and construed in accordance with the laws of the state of Delaware.

10.2 Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts in Delaware.

​

11. Arbitration Clause

​

11.1 Mandatory Arbitration: Any controversy, claim, or dispute arising out of or relating to this Agreement or the Program, including any disputes regarding its formation, validity, or breach, shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

11.2 Location and Governing Rules: The arbitration shall take place in Delaware, unless the parties mutually agree otherwise. The arbitration proceedings shall be governed by the laws of Delaware, and the language of the arbitration shall be English.

11.3 Costs: The costs of arbitration, including administrative and arbitrator fees, shall be shared equally by both parties, unless otherwise required by law. Each party shall be responsible for their own attorney's fees and other costs, unless awarded otherwise by the arbitrator.

11.4 Final Decision: The arbitrator's decision shall be final and binding on both parties. Judgment on the arbitration award may be entered in any court having jurisdiction.

11.5 Exclusion of Class Actions: Referral Agents agree that any claims shall be brought solely in their individual capacity, and not as a plaintiff

12. Non-Circumvention

12.1 Referral Agents agree not to circumvent or attempt to circumvent Bee Setups by directly engaging with the referred clients for services offered by Bee Setups or for services substantially similar, during or after their participation in the Program, without Bee Setups' consent.

12.2 Any violation of this clause will result in immediate termination of participation in the Program, forfeiture of any unpaid revenue shares, and potential legal action.

13. Non-Exclusivity

13.1 Participation in this Program does not create any exclusive rights for the Referral Agent. Bee Setups reserves the right to enter into similar revenue share agreements with other individuals or companies.

13.2 Bee Setups may, at its discretion, accept or reject any referral submitted by the Referral Agent.

​

14. Indemnification

14.1 The Referral Agent agrees to indemnify, defend, and hold harmless Bee Setups, its affiliates, officers, employees, agents, and partners from and against any claims, liabilities, losses, damages, and expenses (including reasonable attorney’s fees) arising from or related to:

  • (a) Referral Agent’s participation in the Program,

  • (b) Any breach of this Agreement by the Referral Agent, or

  • (c) Any improper conduct by the Referral Agent, including but not limited to fraud, misrepresentation, or negligence.

 

15. No Employment or Partnership Relationship

15.1 The Referral Agent is acting as an independent contractor in connection with this Program. Nothing in this Agreement shall create or imply any partnership, joint venture, employer-employee, or agency relationship between the Referral Agent and Bee Setups.

15.2 The Referral Agent shall not represent themselves as an employee, partner, or agent of Bee Setups, nor shall they have any authority to bind Bee Setups in any way.

 

16. Force Majeure

16.1 Bee Setups shall not be liable for any failure to fulfill its obligations under this Agreement due to causes beyond its control, including but not limited to acts of God, acts of government, natural disasters, labor disputes, internet or communication failures, and any other force majeure event.

17. Intellectual Property

17.1 All trademarks, service marks, logos, designs, and intellectual property used in connection with the Bee Setups Program are the property of Bee Setups. Referral Agents are granted no rights or licenses to use Bee Setups' intellectual property without prior written consent.

17.2 The Referral Agent agrees not to use any Bee Setups materials, content, or intellectual property for any purpose outside the scope of this Program without express permission.

18. Audit Rights

18.1 Bee Setups reserves the right to audit the Referral Agent's activities relating to the Program to ensure compliance with these Terms and Conditions.

18.2 The Referral Agent agrees to cooperate fully with any such audit and provide any requested documents or records in a timely manner.

​

19. Assignment

19.1 Referral Agents may not assign or transfer their rights or obligations under this Agreement without the prior written consent of Bee Setups.

19.2 Bee Setups reserves the right to assign or transfer its rights and obligations under this Agreement, including in the case of a merger, acquisition, or sale of the business.

​

20. Use of Bee Setups Brand, Logo, and Marketing Materials

20.1 Permitted Use:
Referral Agents are granted a non-exclusive, revocable license to use Bee Setups' brand elements, including its logo, slogan, and any provided marketing materials, strictly for the purpose of promoting the Bee Setups Revenue Share Program, subject to the guidelines and requirements set forth by Bee Setups.

20.2 Brand Guidelines:
The use of Bee Setups' brand elements must strictly adhere to the brand guidelines provided by Bee Setups, which may include but are not limited to:

  • Proper use of logo and design elements in terms of size, colors, and placement.

  • Use of Bee Setups' official slogan and marketing messages without modification.

  • Guidelines on appropriate channels (e.g., social media, websites, business cards) for promoting the Program.

20.3 Pre-Approval Requirement:
Referral Agents must seek prior written approval from Bee Setups for any custom marketing materials or promotional content that feature Bee Setups' intellectual property, including but not limited to:

  • Alterations to the Bee Setups logo or brand design.

  • New slogans or taglines that mention or reference Bee Setups.

  • Any co-branded marketing material with a third-party.

20.4 Prohibited Use:
The following actions are strictly prohibited in the use of Bee Setups' brand and intellectual property:

  • Misrepresentation of Bee Setups, its services, or its brand in any way.

  • Using the Bee Setups brand for any purpose unrelated to the referral or promotion of the Program.

  • Associating the Bee Setups brand with illegal, unethical, or inappropriate content or activities.

  • Altering, distorting, or misusing Bee Setups' logos, slogans, or marketing materials in a way that negatively impacts the brand's image or reputation.

20.5 Consequences of Misuse:
Any misuse of the Bee Setups brand, logo, slogan, or other intellectual property will be considered a material breach of this Agreement. Such misuse may result in:

  • Immediate termination of the Referral Agent’s participation in the Revenue Share Program.

  • Forfeiture of any unpaid revenue shares.

  • Potential legal action, including claims for damages or injunctive relief.

20.6 Audit and Monitoring:
Bee Setups reserves the right to monitor the Referral Agent's use of its brand elements and request modifications or corrections at any time. The Referral Agent agrees to comply with any such requests in a timely manner.

20.7 Termination of Usage Rights:
Upon termination of the Referral Agent's participation in the Program, whether by the Referral Agent or Bee Setups, all rights to use Bee Setups' intellectual property will immediately cease. The Referral Agent must remove all references to Bee Setups from their marketing materials, online platforms, and other promotional content.

21. Compliance with Laws and Regulations

21.1 Legal Compliance:
Referral Agents must comply with all applicable local, state, national, and international laws and regulations, including advertising and data privacy laws, when promoting Bee Setups and participating in the Revenue Share Program.

21.2 Data Protection:
If the Referral Agent collects or processes any personal data as part of their promotional efforts, they must comply with all applicable data protection regulations, including but not limited to the General Data Protection Regulation (GDPR), California Consumer Privacy Act (CCPA), or other relevant privacy laws.

21.3 Prohibited Activities:
Referral Agents are prohibited from engaging in the following activities when participating in the Program:

  • Sending unsolicited emails (SPAM) or violating any anti-spam laws.

  • Misleading or fraudulent advertising.

  • Any unethical practices that could harm Bee Setups' reputation.

​

22. Conflicts of Interest

22.1 Referral Agents must disclose any existing relationships, partnerships, or activities that may constitute a conflict of interest with the Bee Setups Revenue Share Program. Bee Setups reserves the right to terminate the participation of any Referral Agent who, in its sole discretion, has a conflict of interest that may negatively impact the Program or the company.

23. Severability

23.1 If any provision of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, such invalidity or unenforceability shall not affect the other provisions of the Agreement, which shall remain in full force and effect.

23.2 The parties agree to replace the invalid or unenforceable provision with a valid provision that closely reflects the original intent of the parties.

​

24. Entire Agreement

24.1 This Agreement, together with any referenced attachments, constitutes the entire agreement between Bee Setups and the Referral Agent regarding the Revenue Share Program and supersedes all prior agreements or understandings, whether written or oral, relating to this Program.

24.2 No amendment or modification to this Agreement shall be valid unless made in writing and signed by both parties.

 

25. No Waiver

25.1 The failure of either party to enforce any provision of this Agreement at any time shall not be construed as a waiver of that provision or any other provision, nor affect the validity of this Agreement, or the right of either party to enforce any provision.

26. Non-Exclusive Territory and Client Engagement

26.1 Non-Exclusive Rights:
Participation in the Bee Setups Revenue Share Program does not grant the Referral Agent any exclusive territory or region. Bee Setups reserves the right to work with other Referral Agents and clients in any geographic area, including those where the Referral Agent operates or has referred clients.

26.2 Client Relationships:
Referral Agents acknowledge that Bee Setups may have existing relationships with clients in the same market or region as the referred client. Bee Setups is under no obligation to disclose existing relationships or restrict client engagement based on a Referral Agent's participation in the Program.

26.3 Pre-Existing Clients:
Revenue shares will only be paid on new clients referred by the Referral Agent. No revenue share will be paid for clients who have already been in contact with Bee Setups prior to the referral, including through previous marketing efforts, direct inquiries, or pre-existing partnerships.

26.4 Client Conflicts:
In the event of multiple Referral Agents claiming a referral for the same client, Bee Setups will review the referral records and, at its sole discretion, determine which Referral Agent is entitled to the revenue share. Bee Setups’ decision will be final and binding.

 

27. Marketing and Representation

27.1 Referral Agents are not authorized to make representations or warranties on behalf of Bee Setups. Any marketing materials used by the Referral Agent must not misrepresent Bee Setups' services, pricing, or reputation.

27.2 Referral Agents must not create their own marketing materials for Bee Setups without receiving written approval. Any unauthorized representations may result in immediate termination from the Program and potential legal action.

 

28. Referral Eligibility and Acceptance

28.1 Referral Agents will only receive the revenue share for clients who meet the eligibility criteria as defined by Bee Setups. Bee Setups reserves the right to reject any referral that does not meet its internal requirements or criteria.

28.2 Bee Setups is under no obligation to accept any specific client referred by the Referral Agent, and may, at its discretion, decline to provide services to any referred client for any reason.

29. Confidentiality of Referral Information

29.1 Referral Agents must keep all information regarding referred clients, including their identity, service agreements, and payment details, strictly confidential. Any breach of this confidentiality will result in immediate termination from the Program and may result in legal action.

29.2 Referral Agents shall not use the referral information for any purpose other than participation in the Program without Bee Setups’ prior written consent.

30. Non-Disparagement

30.1 Referral Agents agree not to make any negative, defamatory, or disparaging remarks about Bee Setups, its employees, services, or clients, either publicly or privately, during the term of their participation in the Program and for a period of 12 months following termination of this Agreement.

30.2 Any breach of this clause will be considered a material breach of the Agreement and may result in legal action.

31. Fraud Prevention and Compliance

31.1 Bee Setups takes fraud prevention seriously. Referral Agents agree to refer only legitimate clients who have a genuine interest in the services offered by Bee Setups. Any attempts to manipulate the Program by referring fake clients or engaging in fraudulent activities will result in immediate termination from the Program and forfeiture of all unpaid revenue shares.

31.2 Bee Setups reserves the right to investigate any suspicious referral activities. If Bee Setups determines that a Referral Agent has engaged in fraudulent activity, it reserves the right to pursue legal action.

32. Tracking and Reporting Referrals

32.1 Bee Setups will use commercially reasonable efforts to track referrals and ensure that all qualifying referrals are accurately attributed to the correct Referral Agent.

32.2 Referral Agents are responsible for reviewing referral tracking reports and raising any concerns or disputes about tracking within 15 days of receiving the report. Bee Setups will not be liable for any discrepancies that are not reported within this period.

 

33. Ownership of Work Product

33.1 Any and all materials, designs, content, or other intellectual property created or developed by Bee Setups for referred clients shall remain the sole property of Bee Setups, even if the Referral Agent played a role in securing the client.

33.2 Referral Agents shall not claim ownership of or rights to any such work product or intellectual property created by Bee Setups.

 

34. Referral Fees Upon Termination

34.1 In the event that a Referral Agent's participation in the Program is terminated, they will be entitled to receive revenue share payments for any qualifying referred clients that completed their purchase of Bee Setups' services before the termination date.

34.2 After termination, no new revenue share payments will be made for clients referred after the termination date.
